1. Introduction

Welcome to SprintPulse. These Terms and Conditions govern your use of the SprintPulse service, a web-based retrospective board application operated by Eloquent Bytes ("we", "us", or "our").

By accessing or using SprintPulse, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the service.

2. Service Description

SprintPulse provides a collaborative retrospective board platform that enables teams to:

• Create and manage retrospective boards
• Add, vote on, and discuss feedback items
• Collaborate in real-time with team members
• Merge related feedback and identify action items
• Invite team members via email or shareable links

3. User Accounts

3.1 Account Creation

To use certain features of SprintPulse, you must create an account. You may register using your email address or through Google OAuth authentication. You must provide accurate and complete information during registration.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.

3.3 Account Termination

You may delete your account at any time. We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our discretion.

4. Acceptable Use

You agree not to use SprintPulse to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Upload or transmit malicious code, viruses, or harmful content
• Harass, abuse, or harm other users
• Attempt to gain unauthorised access to our systems or other users' accounts
• Use the service for any unlawful or fraudulent purpose
• Interfere with or disrupt the integrity or performance of the service
• Collect or harvest user data without consent

5. User Content

5.1 Ownership

You retain ownership of all content you submit to SprintPulse, including feedback items, comments, and board content. By submitting content, you grant us a limited licence to store, display, and transmit your content as necessary to provide the service.

5.2 Content Responsibility

You are solely responsible for the content you submit. You represent that you have the necessary rights to share such content and that it does not violate any third-party rights or applicable laws.

5.3 Content Removal

We reserve the right to remove any content that violates these Terms or that we deem inappropriate, without prior notice.

6. Intellectual Property

The SprintPulse service, including its original content, features, and functionality, is owned by Eloquent Bytes and is protected by international copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.

7. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal data is governed by our Privacy Policy. By using SprintPulse, you consent to our data practices as described in the Privacy Policy.

SprintPulse is hosted within the European Union and complies with the General Data Protection Regulation (GDPR). We implement appropriate technical and organisational measures to protect your personal data.

8. Service Availability

We strive to provide reliable access to SprintPulse, but we do not guarantee uninterrupted or error-free service. The service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any part of the service at any time, with or without notice.

9. Disclaimer of Warranties

SprintPulse is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the service will meet your specific requirements, that it will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

10. Limitation of Liability

To the maximum extent permitted by Finnish law, Eloquent Bytes and its directors, employees, partners, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the service
• Any unauthorised access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the service
• Any bugs, viruses, or similar harmful code transmitted through the service
• Any errors or omissions in any content

Our total liability for any claims arising from or related to these Terms or your use of the service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim, or one hundred euros (€100), whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless Eloquent Bytes and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the service, your violation of these Terms, or your violation of any third-party rights.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of SprintPulse after such changes constitutes your acceptance of the new Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Finland, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or your use of SprintPulse shall be subject to the exclusive jurisdiction of the courts of Finland. Before initiating any legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us.

If you are a consumer residing in the European Union, you may also be entitled to submit disputes to the Online Dispute Resolution platform provided by the European Commission at https://ec.europa.eu/consumers/odr.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Eloquent Bytes regarding your use of the service and supersede any prior agreements or understandings.
